Non Profit Company Requirements

What is a Non-Profit Organization in Pakistan?

In Pakistan, a Non-Profit Organization (NPO) is an organization established for charitable, educational, social welfare, or other non-commercial purposes.

Its primary goal is to serve the public good, and any profits generated are reinvested into the organization to further its mission.

They are typically registered under the Companies Act, 2017 (for companies limited by guarantee) or as a Trust, Society, or Foundation.

What are the common legal structures for NPOs in Pakistan?

    • Company Limited by Guarantee: This is the most common structure. It’s registered under the Companies Act, 2017, and doesn’t have shareholders. Members guarantee a certain amount in case the company winds up.
    • Trust: A trust is a legal arrangement where property is held and managed by trustees for the benefit of beneficiaries (the public or a specific cause). Trusts are governed by the Trust Act, 1882.
    • Society: Societies are registered under the Societies Registration Act, 1860, and are formed for promoting literary, scientific, or charitable purposes.
    • Foundation: Foundations are similar to trusts and are established for specific charitable purposes.
